Predigy Inc.

These Terms of Use (“Terms”) govern your access to and use of the public website at www.predigy.com (the “Site”), operated by Predigy Inc. (“Predigy,” “we,” “us,” or “our”).

Agreement

By using the Site, you agree to these Terms. If you do not agree, do not use the Site. A demo request, VIP-apply submission, or visit to any showroom area is not a commercial agreement and does not create an obligation on either side to license software, deploy product, or enter a deal.

Who we are and what this Site is

Predigy Inc. is a Nevada corporation formed January 14, 2026, with its headquarters at 887 Marsh Avenue, Reno, NV 89509. We are a technology vendor to licensed gaming operators. This Site is an operator briefing: informational B2B material about Predigy technology for licensed operators and industry visitors. Public products described on the Site are EDGE, Predigy Edge, SkillCast, Turf Trade, and TradeShield. Predigy Edge is a binary-bet / prediction-style sports-wagering engine designed to bolt onto a licensed operator’s existing sportsbook. TradeShield is optional loss-protection rebate technology licensed to operators for sports binary bets. Predigy does not sell insurance to the public and does not contract with patrons for TradeShield. Any TradeShield offering is made by the licensed operator under that operator’s license and house rules.

The Site is operator-facing only. It is not a public offer to accept wagers, not a consumer gambling product, and not a player book. It is not an offer of securities or event contracts. Predigy Edge is Non CFTC related. Predigy Edge is not a CFTC exchange or designated contract market (DCM), and this Site is not a CFTC event-contract venue.

Access to any software, API, or commercial license is only under a separate written agreement with Predigy. Product descriptions on the Site are informational and may change.

Eligibility

You must be 21 or older to use the Site. The Site is intended for licensed gaming operators, license-seeking operators, and industry visitors. Demo requests should come from licensed or license-seeking operators in jurisdictions where their activity is lawful. You are responsible for complying with the laws that apply to you.

No wagering; operator license governs use

Predigy Inc. does not accept bets, hold player accounts, or process player funds. We do not perform player KYC or AML on this Site. Any real-money use of Predigy technology is solely by a separately licensed operator under that operator’s license, house rules, and applicable law. Use of Predigy technology depends on the operator’s license and law. Nothing on the Site is an offer to take a wager from the public.

Boards, markets, and examples shown on the Site or in any demo or showroom are simulated. They are briefing illustrations, not live books and not offers to bet.

Confidential showroom

If the Site includes a VIP or confidential showroom, that area is a local lock for operator briefing material. It is not a server account, player account, or wagering account. Access to confidential briefing material is not an offer to deploy product, not a license, and not a commercial agreement. You may not copy, scrape, or redistribute showroom material.

Intellectual property

The Site and its content, including text, graphics, logos, and the names and marks EDGE, Predigy Edge, SkillCast, Turf Trade, and TradeShield, are owned by Predigy Inc. or its licensors and are protected by intellectual-property law. Viewing the Site does not grant you a license to use Predigy software, APIs, or marks, except the limited right to view the Site for lawful operator-briefing purposes. Any other use requires our prior written permission or a separate commercial agreement.

Acceptable use

You agree not to:

• Use the Site for any unlawful purpose;
• Scrape, crawl, or harvest the Site in a way that burdens or abuses it;
• Reverse engineer Site software except to the extent the law expressly allows;
• Impersonate Predigy, an operator, a regulator, or any other person; or
• Interfere with the Site’s operation or security, including any local showroom lock.

Demo and contact forms

Information you submit through demo, contact, or VIP-apply forms must be accurate. Provide business contact details. A submission is a request for follow-up only. Predigy has no obligation to provide a demo, grant showroom access, or enter a commercial deal. A demo request is not a commercial agreement.

Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” Predigy disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Product descriptions are informational and may change. Nothing on the Site is a warranty that any product is approved, licensed, or lawful in a given jurisdiction until the relevant regulator and the licensed operator complete their own process. Simulated boards are not live markets. Predigy Edge is Non CFTC related and is not a CFTC exchange or DCM. TradeShield is operator rebate technology, not an insurance product offered by Predigy to the public.

Limitation of liability

To the fullest extent permitted by law, Predigy and its officers, directors, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising from your use of the Site.

Predigy’s total liability for claims arising from the Site will not exceed the greater of one hundred dollars (US $100) or the amounts you paid Predigy for access to the Site. Website access is provided at no charge, so that amount is typically zero.

Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the maximum extent permitted by law.

Indemnity

You will indemnify and hold harmless Predigy Inc. and its officers, directors, and employees from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right in connection with the Site.

Third-party links

The Site may link to third-party sites or services (for example, LinkedIn or news coverage). Those destinations are not under our control. We are not responsible for their content, policies, or practices. A link is not an endorsement.

Privacy

Our collection and use of information through the Site is described in the Privacy Policy at www.predigy.com/privacy. Form data such as name, company, title, work email, notes, and product interest is used to follow up on operator inquiries. We do not sell that information.

Governing law and venue

These Terms are governed by the laws of the State of Nevada, excluding conflict-of-law rules. Exclusive venue for disputes arising from the Site or these Terms is the state courts in Washoe County, Nevada, or the federal courts sitting in Nevada.

Changes

We may update these Terms from time to time. We will revise the effective date at the top of this page when we do. Continued use of the Site after the updated date means you accept the revised Terms.

Severability; entire agreement

If a provision of these Terms is found unenforceable, the rest remain in effect. These Terms are the entire agreement between you and Predigy for use of the public website only. They do not replace, and are not a substitute for, any operator license, commercial license, API agreement, or other written contract with Predigy. If there is a conflict between these Terms and a signed commercial agreement, the signed agreement controls for that commercial relationship.
